Ensuring the resilience of your group structure has never been more important

As the sector re-groups in the wake of the pandemic and reassesses business plans the time is ripe to step back and consider if your group structure continues to be fit for purpose. 

Why do you need to review your group structure?

  • The Value for Money (“VFM”) Standard requires Boards of registered providers of social housing (“RPs”) to ensure they derive optimal benefit from their resources and assets and optimise economy, efficiency and effectiveness in the delivery of their strategic objectives. As part of this, RP Boards are also required to consider the costs and potential benefits of alternative organisational, commercial and delivery structures.
  • We have seen an increased focus by the Regulator of Social Housing (“RSH”) during In-Depth Assessments (“IDAs”) on ensuring that RPs are fully testing the merits and drawbacks of their structure.
  • This is linked to VFM and also strong governance and understanding of intragroup risk flow. The RSH has expected there to be a clear rationale as to why specific entities exist within a group structure and required “Parent” RPs to have a full understanding of the group’s governance structure, with any perceived risks being properly overseen and managed.
  • Several regulatory downgrades have occurred, including to non-compliant gradings, where the RSH was unsatisfied with the responses provided.
